EULA

This End User License Agreement ("EULA") is a legal agreement between you ("you" or "user") and GOATOTE Inc. ("GOATOTE," "we," "us," or "our") governing your access to and use of our website, services, technology solutions, software, and any associated documentation or materials (collectively, the "Services"). By accessing or using the Services, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not access or use the Services.

License Grant

  • Subject to your compliance with the terms of this EULA, GOATOTE hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use.
     

Restrictions

  • You agree not to:

    1. Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services or any part thereof.

    2. Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices appearing on or within the Services.

    3. Use the Services for any purpose that is unlawful or prohibited by this EULA or any applicable laws, rules, or regulations.

    4. Rent, lease, loan, resell, sublicense, distribute, or otherwise transfer the Services to any third party or use the Services to provide time-sharing or similar services for any third party.

    5. Make the Services available on any file-sharing or application hosting service.
       

Intellectual Property Rights

  • You acknowledge and agree that the Services and all copyrights, patents, trademarks, trade secrets, and other intellectual property rights associated therewith are, and shall remain, the property of GOATOTE or its licensors. Nothing in this EULA intends to transfer any such intellectual property rights to you.
     

Term and Termination

  • This EULA is effective until terminated. You may terminate this EULA at any time by ceasing all use of the Services and deleting any copies of the Services in your possession or control. We may terminate this EULA at any time and for any reason, including but not limited to your breach of any term of this EULA. Upon termination, you must immediately cease using the Services and delete all copies of the Services in your possession or control.
     

Disclaimer of Warranties

  • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOATOTE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
     

Limitation of Liability

  • TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GOATOTE OR ITS LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
     

Indemnification

  • You agree to indemnify, defend, and hold harmless GOATOTE and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to your use of the Services or your breach of this EULA.
     

Governing Law and Jurisdiction

  • This EULA and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law, without regard to its conflict of law provisions.

  • You agree that the courts will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this EULA or its subject matter or formation (including non-contractual disputes or claims).
     

Changes to the EULA

  • We may revise and update this EULA from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of a revised EULA means that you accept and agree to the changes.
     

Severability

  • If any provision of this EULA is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this EULA will remain in full force and effect.
     

Entire Agreement

  • This EULA constitutes the entire agreement between you and GOATOTE regarding the use of the Services and supersedes all prior or contemporaneous understandings, communications, or agreements, whether written or oral, regarding the subject matter of this EULA.
